This Master Services Agreement (“Agreement” or “MSA”) is entered into between Contractor Commander, LLC, a North Carolina limited liability company authorized to do business in South Carolina (“Contractor Commander,” “we,” “us”), and the subscribing client (“Client,” “you”).

By signing up for services, checking the acceptance box at checkout, executing this Agreement electronically, or otherwise engaging Contractor Commander, Client confirms that Client has read, understood, and agrees to be legally bound by this Agreement.
This Agreement governs the general terms and conditions applicable to all services provided by Contractor Commander, with service-specific details governed by the applicable Service Schedule or Letter of Engagement. In the event of any conflict between this Agreement and a Service Schedule or Letter of Engagement, the Service Schedule or Letter of Engagement shall control with respect to the applicable services.
Client acknowledges and agrees that this Agreement has an initial term of twelve (12) months (the “Initial Term”), beginning on the service start date selected at checkout.
Except as expressly stated in this Agreement, the Agreement is not subject to early cancellation, suspension, or termination by Client during the Initial Term.
Early termination during the Initial Term is permitted only if:
a. Contractor Commander materially breaches this Agreement and fails to cure such breach within thirty (30) days after written notice, or
b. Both parties mutually agree in writing to terminate.
Client agrees to pay all fees associated with the selected service plan(s) for the entire Initial Term.
Payment obligations are absolute and unconditional and are not dependent on results, usage, satisfaction, or business performance, provided Contractor Commander remains ready and able to perform services.
All fees are non-refundable, except as required by law.
Contractor Commander operates as a consultant and provides advisory, administrative, and operational support services. Contractor Commander does not guarantee any specific financial, operational, marketing, or business results.
Client acknowledges that results depend on factors outside Contractor Commander’s control, including Client decisions, data quality, responsiveness, implementation consistency, and external conditions. Client further acknowledges that Client has not relied on any representations, forecasts, projections, or assurances not expressly set forth in this Agreement.
All methodologies, workflows, templates, SOPs, systems, frameworks, and materials used or developed by Contractor Commander (“Proprietary Materials”) remain the exclusive intellectual property of Contractor Commander.
Client is granted a limited, non-exclusive, non-transferable license to use Proprietary Materials solely during the active term of this Agreement.
Client may not copy, reuse, self-implement, reverse-engineer, or provide such materials to third parties during the term of this Agreement or for twelve (12) months thereafter.
Client agrees that during the term of this Agreement and for twenty-four (24) months thereafter, Client shall not solicit, hire, or engage any employee or contractor of Contractor Commander.
Each party agrees to maintain the confidentiality of all non-public, confidential, or proprietary information received from the other party in connection with this Agreement. Client retains ownership of its data, and Contractor Commander may access and use Client data solely to perform services under this Agreement.
While Contractor Commander uses commercially reasonable safeguards, Contractor Commander does not guarantee absolute security of Client data and shall not be liable for unauthorized access, breaches, or disclosures beyond its reasonable control.
Contractor Commander is an independent contractor. Nothing in this Agreement creates a partnership, joint venture, fiduciary, agency, or employment relationship.
Contractor Commander primarily provides consulting, administrative, and operational support services. Certain services that require professional licensure, including certified public accounting (CPA) services, may be offered from time to time only if expressly identified in a written Service Schedule or separate Letter of Engagement.
Any such licensed services shall be governed exclusively by the applicable Service Schedule or Letter of Engagement, including scope, limitations, and responsibilities. To the extent licensed services are performed by third-party professionals, such services are provided by those professionals in their independent capacity and not by Contractor Commander, unless otherwise expressly stated in writing.
To the maximum extent permitted by law, Contractor Commander’s total aggregate liability arising out of or relating to this Agreement, whether in contract, tort, negligence, or otherwise, shall not exceed the total fees paid by Client during the six (6) months immediately preceding the event giving rise to the claim.
Neither party shall be liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, pandemics, government actions, labor disputes, power outages, or third-party system failures.
Contractor Commander may suspend services if any payment is past due, declined, or disputed. Suspension does not relieve Client of payment obligations.
This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict-of-laws principles.
Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in the State of North Carolina, regardless of Client’s location or Contractor Commander’s business offices. The parties knowingly and irrevocably waive any objection to personal jurisdiction, venue, or forum non conveniens.
After the Initial Term, this Agreement renews month-to-month unless either party provides at least thirty (30) days’ written notice of non-renewal.
By signing up for services or checking the acceptance box at checkout, Client confirms acceptance of this Agreement and all applicable Service Schedules.
